Bylaws are governance tools that require board approval, but they serve different purposes and operate at different levels within an organization. Bylaws are foundational documents that establish the overarching structure, roles, and rules of governance. They are broad in scope, less frequently changed, and typically amended only when there are significant shifts in the organization’s structure or governance.
